These Terms of Service (“Terms”) govern your access to and use of the Romano Paint Co. (“Romano,” “we,” “our,” or “us”) website located at www.romanopaintco.ca and any sub-domains or online services that link to these Terms (collectively, the “Site”). By visiting or using the Site, you agree to be bound by these Terms and by our Privacy Notice. If you do not accept these Terms, do not use the Site.

1.  Site Purpose and Informational Nature

The Site provides information about our residential and commercial interior/exterior painting services, allows you to request estimates, book appointments, and view educational content. All on-site painting work is governed exclusively by written service contracts or quotation agreements executed with you (“Service Contracts”). If any conflict arises between these Terms and a Service Contract, the Service Contract controls.

2.  Eligibility and Account Security

You must be the age of majority in your province or territory of residence (18 in Ontario) to request services through the Site. You agree to provide accurate, current information and to maintain the confidentiality of any login credentials. You are responsible for all activity that occurs under your account.

3.  Intellectual Property

All text, images, graphics, logos, designs, and other content on the Site (“Content”) are either owned by Romano or used under licence. Except for the limited rights expressly given to you in these Terms, no licence or other right in the Content is granted. You may view the Site for personal or internal business use only. Copying, redistributing, or creating derivative works without our prior written consent is prohibited.

4.  User Submissions

If you submit project photos, testimonials, reviews, or other materials (“User Content”) you:

(a) grant Romano a perpetual, royalty-free, worldwide licence to use, reproduce, publish, and display that User Content in any media to promote our services; and

(b) warrant that you own or control all necessary rights in the User Content and that its use will not violate any law or infringe any third-party rights. We may remove User Content at our discretion.

5.  Estimates and Online Scheduling

Price estimates generated through the Site are non-binding and based on information you provide. Final pricing, scheduling, scope of work, and warranty terms are set out in your Service Contract after an on-site assessment. We reserve the right to refuse or cancel an appointment request for any lawful reason, including suspected fraud or availability constraints.

6.  Prohibited Conduct

You agree not to:

• interfere with Site security or integrity;

• attempt to gain unauthorised access to any part of the Site or its servers;

• use the Site to transmit malware, spam, or other harmful code;

• reverse-engineer or modify the Site software;

• impersonate any person or misrepresent your affiliation with Romano; or

• engage in any activity that violates applicable law or infringes another’s rights.

7.  Third-Party Links and Tools

The Site may link to external websites or integrate third-party tools (e.g., payment processors, mapping services). We do not control and are not responsible for third-party content, privacy practices, or terms. Your use of a third-party site or tool is at your own risk.

8.  Disclaimer of Warranties

The Site and all Content are provided “as is” and “as available.” To the fullest extent permitted by law, Romano disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. We do not guarantee that the Site will be error-free or secure, or that any content is accurate, complete, or current.

9.  Limitation of Liability

To the maximum extent permitted by law, Romano and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising out of or related to your use of (or inability to use) the Site. Our total liability for any claim arising from the Site will not exceed one hundred Canadian dollars (CAD $100) or the minimum amount permitted by law, whichever is greater.

10.  Indemnity

You agree to indemnify and hold harmless Romano and its affiliates from and against any claims, liabilities, damages, judgments, and expenses (including reasonable legal fees) arising out of or related to your: (a) breach of these Terms; (b) User Content; or (c) violation of any law or third-party rights.

11.  Modifications to the Site or Terms

We may modify the Site or these Terms at any time. If we make material changes to the Terms, we will post the updated version and update the “Last updated” date. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

12.  Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising under these Terms that is not resolved informally will be submitted to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto, except where arbitration is mandated by law or mutually agreed.

13.  Severability

If any provision of these Terms is held unlawful, void, or unenforceable, that provision is deemed severed and will not affect the validity or enforceability of the remaining provisions.
